- Go-to-Market Strategy: Market entry planning, competitive positioning, launch playbooks, channel strategy
- Ease of Doing Business: Process simplification, compliance advisory, operational efficiency, SOP development
2.1 Service Engagement
All consulting engagements are conducted through:
- Initial discovery calls (free 30-minute strategy sessions)
- Formal engagement agreements with defined scope, timeline, and deliverables
- Project-based or retainer consulting arrangements
- Workshops, training sessions, and advisory support
2.2 Engagement Scope
The scope, deliverables, timeline, and cost of each engagement are defined in a separate signed engagement agreement or statement of work (SOW). These terms apply alongside this agreement.
Note: Crowcent does NOT provide accounting, tax, legal, or medical advice. For such matters, consult licensed professionals in your jurisdiction.
3. Eligibility
3.1 Age & Capacity
By using our website and services, you represent that you are:
- At least 18 years of age (or the legal age of majority in your jurisdiction)
- Capable of entering into a legally binding agreement
- Acting on behalf of a legitimate business or organization (for B2B services)
3.2 Business Status
Our services are designed for small and medium-sized businesses (SMBs), startups, and organizations. If you are engaging our services on behalf of an organization, you warrant that you have authority to bind that organization to these terms.
3.3 Geographic Limitations
Crowcent primarily serves clients in India and internationally. However, we reserve the right to decline services to clients in jurisdictions where we cannot legally operate.
4. User Conduct & Responsibilities
4.1 Prohibited Conduct
When using our website and services, you agree NOT to:
- Provide false, misleading, or inaccurate information
- Engage in harassment, abuse, or threatening behavior toward Crowcent team members
- Attempt to gain unauthorized access to our website or systems
- Transmit malware, viruses, or harmful code
- Use automated tools, bots, or scrapers to extract data from our website
- Reproduce, distribute, or republish our content without permission
- Use our services for illegal activities or to facilitate third-party illegal conduct
- Engage in spamming, phishing, or social engineering attacks

5. Intellectual Property Rights
5.1 Crowcent IP
All content on crowcent.com—including text, graphics, logos, images, videos, frameworks, methodologies, and designs—is the property of Crowcent or its licensors and is protected by copyright, trademark, and other intellectual property laws.
Permitted Use: You may view and print content for personal, non-commercial use only. Reproduction, distribution, or commercial use without written permission is prohibited.
5.2 Client Work & Deliverables
During Engagement:
- All deliverables created specifically for you (strategies, reports, plans, frameworks) become your property upon full payment
- You have the right to use these deliverables for your business operations
- Crowcent retains the right to use the methodology and frameworks (non-client-specific) in future engagements
5.3 Confidential Methodologies
Crowcent's proprietary frameworks, processes, and methodologies remain our intellectual property. You agree not to:
- Reproduce or distribute our methodologies to third parties
- Reverse-engineer or claim ownership of our processes
- Use our frameworks commercially beyond your organization's internal use
5.4 User-Generated Content
If you provide feedback, testimonials, case study data, or other content to Crowcent, you grant us a non-exclusive license to use such content for:
- Marketing and promotional purposes
- Website and social media content
- Case studies and success stories
Note: We will always respect your privacy and not share confidential business information without your consent.
5.5 Copyright & DMCA
If you believe content on crowcent.com infringes your copyright, contact us immediately at workwithgautam.live@gmail.com with:
- Detailed description of the infringing content
- Your copyright registration or proof of ownership
- Your contact information
6. Payment & Fees
6.1 Pricing
Consulting fees are quoted in a separate SOW or engagement agreement. Pricing may include:
- Project-Based Fees: Fixed cost for defined deliverables
- Retainer Model: Monthly or quarterly recurring fees for ongoing support
- Hourly Rates: For ad-hoc consulting or advisory services
- Day Rates: For workshops, intensive sessions, or on-site work
6.2 Payment Terms
Unless otherwise specified in your engagement agreement:
- Invoicing: Invoices are issued upon engagement commencement or as per SOW schedule
- Payment Deadline: Payment is due within 15 days of invoice date
- Payment Methods: Bank transfer, credit card, or as specified in invoice
- Late Payment: Late payments may incur a 1% monthly interest charge or as per contract
6.3 Expenses
Unless included in the quoted fee, the following may incur additional charges:
- Travel and accommodation for on-site engagements
- Third-party tools or software licenses
- Additional deliverables beyond the agreed scope
- Expedited or rush delivery requests
6.4 Refund Policy
Crowcent delivers consulting services in good faith. Refunds are generally not available for completed work. However:
- Unsatisfactory Work: If deliverables do not meet agreed specifications, we will revise them at no additional cost
- Service Termination: If you terminate an engagement mid-project, payment for work completed is due
- Dispute Resolution: Payment disputes will be resolved through the process outlined in Section 11
GST/Taxes: All fees are exclusive of applicable GST and other taxes. Tax will be added as per Indian law and invoiced separately.
7. Confidentiality
7.1 Mutual Confidentiality
During our engagement, both parties will:
- Protect the confidentiality of non-public business information
- Limit disclosure of sensitive data to authorized personnel only
- Use confidential information solely for the purpose of fulfilling the engagement
- Return or destroy confidential materials upon engagement termination
7.2 Exceptions to Confidentiality
Confidentiality obligations do not apply to information that is:
- Already publicly available
- Independently developed without reference to confidential information
- Required to be disclosed by law or court order
- Disclosed with your prior written consent
7.3 Case Studies & Testimonials
Crowcent may request permission to feature your engagement as a case study or reference. This is entirely optional, and we will not share confidential business information without your explicit written approval.
7.4 Survival
Confidentiality obligations survive termination of our engagement for a period of 2 years.
8. Limitation of Liability
8.1 Disclaimer
To the maximum extent permitted by law, Crowcent is not liable for:
- Indirect, incidental, special, or consequential damages (even if advised of possibility)
- Lost profits, revenue, data, or business opportunity
- Damages arising from business decisions made based on our recommendations
- Third-party claims or disputes
- Results or outcomes beyond our direct control
8.2 Liability Cap
Crowcent's total liability for any claim arising from this agreement shall not exceed the total fees paid by you in the 12 months preceding the claim or ₹50,000 INR (whichever is greater).
8.3 No Guarantee of Results
Crowcent provides strategic consulting and guidance based on best practices and market analysis. However:
- We do not guarantee specific business outcomes or revenue targets
- Business success depends on execution, market conditions, and external factors beyond our control
- Market conditions, competitive dynamics, and business environments change
- Your implementation and follow-through are critical to success
Important: Consulting is advisory in nature. You are responsible for all business decisions and their consequences. Seek professional advisors (legal, financial, tax) as appropriate for your situation.
9. Warranties & Disclaimers
9.1 Service Warranty
Crowcent warrants that:
- Services will be performed in a professional, workmanlike manner
- Deliverables will meet the specifications outlined in the SOW
- Team members are qualified and experienced in their respective domains
9.2 Disclaimer of Other Warranties
EXCEPT AS EXPRESSLY STATED: Our website, content, and services are provided "AS IS" without any other warranties, express or implied, including:
- Merchantability or fitness for a particular purpose
- Non-infringement of third-party rights
- Uninterrupted, error-free, or secure operation
- Accuracy or completeness of information
9.3 Website Disclaimer
Crowcent does not warrant that:
- The website will be available 24/7 without interruption
- Website servers are free from viruses or malicious code
- Third-party links are accurate, safe, or up-to-date
9.4 Third-Party Content
Links, references, or recommendations to third-party services or products are for convenience only. Crowcent is not responsible for third-party content, terms, or quality.
10. Termination of Services
10.1 Termination by Client
You may terminate an engagement by:
- Providing written notice to workwithgautam.live@gmail.com
- Specifying termination effective date (minimum 5 business days notice required)
- Settling all outstanding fees and expenses
10.2 Termination by Crowcent
Crowcent may terminate services for:
- Non-payment of invoices (after 30 days of notice)
- Client breach of engagement agreement or these terms
- Abusive or unethical conduct toward team members
- Inability to fulfill engagement due to unforeseen circumstances
- Client's business closure or insolvency
10.3 Effect of Termination
Upon termination:
- Payment for completed work remains due
- All confidentiality obligations remain in effect
- Crowcent will provide reasonable assistance in transitioning to another consultant (if requested)
- Unfinished deliverables will be provided in their current state (not completed)
10.4 Survival
The following sections survive termination: Confidentiality, Intellectual Property, Limitation of Liability, Governing Law, and Dispute Resolution.
11. Dispute Resolution
11.1 Informal Resolution
If a dispute arises, we encourage you to:

- Provide specific description of the issue
- Allow 10 business days for our response
11.2 Escalation Process
If informal resolution fails:
- Either party may request a video call to discuss the dispute
- We will attempt to reach a mutually agreeable solution within 15 days
- If unresolved, proceed to formal dispute resolution
11.3 Mediation
Before pursuing legal action, both parties agree to:
- Submit to non-binding mediation
- Attempt to resolve the dispute with a neutral third party
- Share costs of mediation equally
11.4 Arbitration (for India-Based Clients)
If mediation fails, disputes will be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996:
- Seat: Meerut, Uttar Pradesh, India
- Number of Arbitrators: Single arbitrator (unless claim exceeds ₹10 lakhs, then 3 arbitrators)
- Language: English
- Rules: Indian Arbitration Rules
11.5 Litigation (for International Clients)
For international clients, disputes may be resolved through courts in your jurisdiction or ours, as mutually agreed upon.
11.6 No Class Actions
Any dispute must be resolved individually. Class action lawsuits or arbitrations are not permitted.
12. Governing Law
12.1 Applicable Law
These Terms of Service are governed by the laws of India, specifically the laws of Uttar Pradesh, without regard to conflict of law principles.
12.2 Jurisdiction
The exclusive jurisdiction and venue for any legal proceedings arising from this agreement shall be the courts of Meerut, Uttar Pradesh, India.
12.3 Compliance with Local Laws
You agree to comply with all applicable laws in your jurisdiction, including:
- Indian IT Act, 2000 and IT Rules, 2011
- Companies Act, 2013
- Consumer Protection Act, 2019
- Applicable GST and tax laws
- Any other local, state, or national laws
12.4 Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid.
13. Changes to Terms of Service
13.1 Modification Rights
Crowcent reserves the right to modify these Terms of Service at any time. Changes will be:
- Posted on crowcent.com with an updated "Last Updated" date
- Effective immediately upon posting
- Communicated via email for material changes (if we have your contact info)
13.2 Acceptance of Changes
Your continued use of our website or services after any changes constitutes your acceptance of the modified terms. If you disagree with changes, you may:
- Stop using the website or services
- Terminate an active engagement (subject to payment obligations)
13.3 Engagement-Specific Terms
For active consulting engagements, changes to these general terms do not override the specific terms of your signed engagement agreement or SOW.
